These terms govern your use of the Membeth website (membeth.com) and, together with any separate agreement we sign with you, the services we provide. Membeth ("we", "us") is a digital marketing and AI implementation agency operated by Marko Baranin, sole proprietor trading as Membeth, Belgrade, Serbia, serving clients in the United States and Canada. By using this site or engaging our services, you agree to these terms.
Using this website
You may use this site for lawful purposes only. Don't attempt to disrupt it, access it in ways it isn't intended to be accessed, or use it to send unlawful or abusive content. The content on this site is provided for general information and may change without notice.
Our services
We set up and run the After-Hours Lead Desk, and we offer the Growth & AI Audit. The exact scope, deliverables, and price of any engagement are set out in a written proposal or agreement we provide before work begins. Where those documents and this page differ, the signed agreement controls.
The Growth & AI Audit and setup credit
If you start a paid setup with us within 30 days of your Growth & AI Audit, we credit the full audit fee against that setup fee. The credit applies once, to the initial setup, and has no cash value on its own.
Pricing and payment
Prices are in US dollars and depend on the scope you choose. We confirm the price in writing before starting. Setup fees are due before we begin, and recurring fees are billed monthly in advance unless your agreement says otherwise. Recurring services continue until cancelled.
Timelines
We aim to make most setups live within 3 to 5 days of kickoff. Business texting in the US requires carrier registration, which can take longer. These are targets, not guarantees; timelines depend on you providing the access, content, and approvals we need to do the work.
30-day money-back guarantee
New setups are backed by a 30-day money-back guarantee: if, within 30 days of your system going live, it does not deliver what we agreed in your proposal, tell us and we'll refund your setup fee. The guarantee covers the setup fee for the initial build. It does not cover third-party costs we paid on your behalf (for example, messaging or software fees), and it assumes you gave us the access and information needed to build and run the system.
Your responsibilities
To deliver our services you agree to give us timely access to the accounts, tools, and information we need, to review and approve work when we ask, and to use the systems we build in compliance with the law, including the rules of the platforms involved (such as SMS, email, and social messaging) and applicable marketing laws like CAN-SPAM (US) and CASL (Canada). You are responsible for the content and offers you ask us to promote, and for how you use the leads and data the systems collect.
Ownership
Your accounts, your brand, and the leads and customer data our systems handle belong to you. Once fees for a deliverable are paid, you receive a licence to use it for your own business: permanently for one-time builds, and for the length of the plan for monthly services. Third-party software and platforms remain owned by their providers, and our own reusable systems, prompts, templates and know-how remain ours. We do not use your name, logo or results in our marketing without your written permission.
Third-party services
Our systems rely on third-party providers (for example, messaging, calendar, hosting, and AI platforms). Your use of those services is subject to their own terms, and we are not responsible for their availability, changes, or fees. We'll tell you which providers an engagement depends on.
Confidentiality
Each side agrees to keep the other's non-public business information confidential and to use it only to carry out the engagement.
Disclaimers and limitation of liability
We work hard to deliver results, but we do not guarantee specific business outcomes such as a particular number of leads, bookings, or revenue, too much of that depends on your market, offer, and follow-through. Our services and this website are provided "as is" to the fullest extent permitted by law. To the extent permitted by law, our total liability arising from an engagement is limited to the fees you paid us in the three months before the event giving rise to the claim, and we are not liable for indirect or consequential losses.
Cancellation
You can cancel a recurring service with the notice stated in your agreement (by default, 14 days’ written notice, effective at the end of the current billing period). Fees already paid for the current period are non-refundable except where the money-back guarantee applies. We may pause or end a service if fees go unpaid or these terms are breached.
Governing law
Except where a signed client agreement specifies otherwise, these terms are governed by the laws of the Republic of Serbia, without regard to conflict-of-law rules.
Changes to these terms
We may update these terms from time to time. When we do, we'll change the effective date above. Your continued use of the site or our services after a change means you accept the updated terms.
